Abu Dhabi-based luxury and hospitality investment platform DIAFA, an affiliate of International Holding Company, has acquired a majority stake in the hospitality portfolio of restaurateur Richard Caring in a transaction valued in the ten-figure range.
The deal includes The Ivy Brasseries and the broader restaurant portfolio of Caprice Holdings, which features brands such as Scott’s, Sexy Fish, and Noema. It also covers the private members’ clubs operated under The Birley Clubs, including Annabel’s, George, Harry’s Bar, and Mark’s Club.
Following the transaction, DIAFA and Caring will jointly lead the international expansion of the portfolio. Planned developments include the opening of Annabel’s in New York, alongside continued global growth of Scott’s, Sexy Fish, and Noema. The Ivy Brasseries are expected to continue expanding across the UK in 2026, with additional exploration of openings in the United States and other international markets.
DIAFA, headquartered in Abu Dhabi, is focused on building a global luxury food and beverage platform. Its existing portfolio includes Azumi Group and The h.wood Group. The addition of Caprice Holdings and The Birley Clubs expands its presence in premium dining and private members’ clubs.
Ravi Thakran, Group CEO of DIAFA, said the transaction marks the start of a new phase for the platform’s global ambitions in luxury hospitality. Caring said the partnership is expected to support the international growth of the group’s brands and further develop its hospitality offering.
